Service agreement · Updated October 8, 2026
What you are buying.
Not legal advice. Read it before you pay. The checkbox on /packages/start is how you accept it.
Who this is with
Lee Springer, doing business as Lee Springer Co., Plainfield, Illinois (“I,” “me,” Provider) and the person or shop paying (“you,” Client). Paying on this site is how you accept this agreement. When Lee Springer Co., LLC is formed, I may assign this agreement to that LLC. You agree to that assignment.
Web services only
This covers the public website: design and content on the site, a Call-first path, on-page local SEO foundation, and year-one keep-fresh. It does not cover IT support, networks, printers, email or mail-server admin, Microsoft 365 or Google Workspace IT, backups, security audits, phone systems, POS, member portals, custom apps, ads management, or deep SEO campaigns. If it is not website content, design, or on-page SEO for the public site, it is out of scope and gets a separate quote.
What you are buying
Refresh ($1,997) is a phone-ready rebuild of a site you already have. New Site ($2,997) is a new phone-ready site. Both include year one of keep-fresh. After year one, keep-fresh is $449/yr if you continue, billed yearly, cancelable with 30 days’ written notice by either of us. Feature adds — booking, menus, galleries, a managed CRM, or other named work — are not in this price. Those get a written scope first.
What is in the box
A lean public site is the default: a strong home and a number a neighbor can tap, hours and where you are, hosting on my stack, SSL, on-page titles and local NAP. Tweaks until it feels like the shop, before launch. Keep-fresh for twelve months from launch: hours, copy, NAP, phone, approved photos, services list, a light color pass, and a light monthly hygiene pass (titles, NAP consistency, broken links, forms). No ranking guarantee. No guarantee the phone will ring.
Preview
I often build a live preview from public sources before you pay, so you can see the shop on a phone. Preview links use a leespringer.co URL. A preview is temporary — about seven days — then it comes down unless you pay. I invent zero NAP, reviews, prices, streets, testimonials, or credentials. Unknowns stay blank until you confirm. If you own a shop shown in a preview and want it down sooner, email me and I’ll take it down, usually within one business day.
Photos
You are not required to send a full photo pack, and I do not retouch in Photoshop. I use AI to generate, improve, and enhance images. I may also salvage usable public photos or help you pick shots from your phone. No fake faces passed off as the crew. You confirm which images are OK and that you have the rights. A generated scene is labeled as such. A custom shoot or video is a separate quote.
Your facts
I research and propose locked name, phone, address, hours, services, and voice. You confirm or correct when I ask. Once you clear facts, you are responsible for their accuracy. I update the site when you send a correction. I will not invent prices, streets, reviews, star ratings, or credentials.
What is not in the box
You hosting it yourself as a condition of the build. A WordPress export or “just give me the files” in place of a live site. The deliverable is a live site. One free export is available at handoff (see Who owns what). Unlimited pages or a mill of city stub pages. Member apps, mail servers, general IT. Registering, renewing, transferring, or managing your domain or registrar account. Same-hour emergency edits. Redesigns, new sections, portals, ads, or deep SEO strategy — those are a change order.
Payment
You pay the package price in full at checkout through Square. Work on the paid build does not start until Square says the payment cleared. Square’s processing fee comes out of that payment. I do not add a surcharge on top. Feature adds are quoted and due before that work ships. About 30 days before your launch anniversary, I email you a Square invoice for $449. It is due by the anniversary. No automatic charges, and no card kept on file. Unpaid renewals may pause keep-fresh.
Cancel and refunds
Write me before I start the paid build and you get a full refund. Same if you cancel within seven days of payment and I have not started. Start means I have asked for copy or photos on the paid job, sent your DNS records, or sent a first look after payment. After that, time already used is not refunded. Chargebacks: the Square receipt and the checkbox on /packages/start are the signed agreement. Keep-fresh after year one ends with 30 days’ written notice. No partial refunds for the rest of a keep-fresh year. Keep-fresh runs through the year you paid for. If you cancel within seven days of paying a renewal and I haven’t made any changes yet, you get it all back.
When keep-fresh ends
If keep-fresh ends or a renewal goes unpaid, your site stays up through the period you paid for. Then I email you 30 days’ notice before I take it down. Any time before then, you can ask for an export of your content and site files. Your domain stays yours the whole time.
Domain and hosting
Your domain is yours to own and manage. It stays registered in your name at your registrar (GoDaddy, Squarespace, Cloudflare, or similar). You are responsible for keeping it renewed, paid, and secure, including auto-renew, the card on file, and your registrar login. I do not register, renew, transfer, or log in to your domain account. To go live, I send you the exact website DNS records, and you or your registrar's support add them. If you want help, we can do it together on a screen share while you stay signed in. I do not change your email records. I am not responsible for downtime, lost email, or a lost domain caused by an expired or unpaid registration, a registrar outage or policy, or DNS changes made by you or anyone else. If your domain lapses, the site goes dark until you restore it with your registrar, and keep-fresh does not cover that work. Until paid, the preview stays on my URL. After paid go-live, the site lives on my stack with your domain pointed to it, unless we agree in writing that you self-host.
Revisions
During the build we iterate until you confirm facts and images and the site is ready to go live. After launch, keep-fresh covers small public-site asks. Two rounds on the approved direction are in the build. After that, or for a redesign or new section, I quote.
Who owns what
You own your business content, marks, photos you own, and published content about your business. I keep tools, templates, components, and methods, and may reuse patterns that are not specific to you. Until the build fee is paid in full I may withhold domain cutover or take the preview down. After paid handoff you may move the site; keep-fresh ends unless the $449/yr renew is active. One export is free: a zip with your text, your photos, and a copy of the built site files. Setting it up on another host, or rebuilding it in WordPress or a site builder, gets a quote.
Limits
I will do the work in a professional manner. The site is a marketing tool — not a guarantee of leads, rankings, or revenue. To the fullest extent allowed by law, my total liability under this agreement is limited to fees you paid me for this project in the prior six months. No consequential damages.
Notices
Questions or notices: LeeRSpringer@gmail.com. An email to this address, or a reply in our email thread, counts as written notice. I’ll confirm I got it.
